4. Payments & Fees

All fees are outlined in client proposals or agreements.

Payments are due according to the schedule in your agreement (monthly, project-based, etc.).

Late payments may result in paused services.

Advertising budgets are separate from management fees unless otherwise stated.


5. No Guarantee of Results

Marketing involves many external factors (algorithms, competition, market changes, etc.). While we use proven strategies and best practices, Bright Night Marketing does not guarantee specific results, including but not limited to sales, leads, engagement, or revenue.


6. Intellectual Property

Client Materials

All materials provided by the client remain the client’s property.

Agency-Created Work

Upon full payment, the client may use final approved deliverables for business purposes. Bright Night Marketing retains the right to:

Use non-confidential work in portfolios or marketing materials

Retain ownership of internal processes, templates, and systems


7. Third-Party Platforms

We may manage or advise on platforms such as Google, Facebook, Instagram, LinkedIn, or website tools. We are not responsible for:

Platform outages or changes

Account suspensions due to platform policy violations

Third-party software failures

Clients are subject to the terms of those platforms.


8. Confidentiality

Both parties agree to keep confidential information private, including business strategies, financial information, and proprietary processes.


9. Limitation of Liability

Bright Night Marketing is not liable for:

Indirect or consequential losses

Loss of profits, data, or business opportunities

Issues arising from client-provided materials

Total liability will not exceed the amount paid for services during the preceding 30 days.


10. Termination

Either party may terminate services according to the terms in the client agreement. Upon termination:

Outstanding fees remain due

Work completed up to termination will be delivered

Access to managed platforms may be transferred back to the client


11. Website Use

Users of this website agree not to:

Use the site for unlawful purposes

Attempt to gain unauthorized access

Copy or distribute content without permission


12. Changes to Terms
